These Terms of Service govern your use of Tool Shakedown, a product of CZieler Works. By creating an account or using the service, you agree to these terms.
Using Tool Shakedown
You may use Tool Shakedown for lawful business purposes and in accordance with these terms. You are responsible for the activity under your account and for maintaining the confidentiality of your login credentials.
Your organization and users
If you create or administer an organization in Tool Shakedown, you are responsible for ensuring that you have authority to provide information, invite users, and connect third-party systems on behalf of that organization. Administrators are responsible for managing user access appropriately.
Your data
You retain ownership of information you submit to Tool Shakedown. You grant CZieler Works the rights reasonably necessary to host, process, transmit, and display that information for the purpose of operating and providing the service. You are responsible for having the rights and permissions needed to provide that information.
Third-party integrations
Tool Shakedown may allow you to connect third-party products and services. Those services are governed by their own terms and privacy practices. Availability, permissions, data fields, and API behavior can change outside our control. You are responsible for authorizing connections only when you have permission to do so.
Analysis and findings
Tool Shakedown is designed to organize evidence and help identify areas for review, including cost, usage, capabilities, potential overlap, and related findings. Its analysis, findings, review signals, and executive summaries are decision-support information, not automatic instructions to purchase, cancel, replace, or retain a product. Your organization remains responsible for final business, financial, security, contractual, and operational decisions.
Subscriptions and billing
Paid features may require a subscription. Prices, billing periods, included features, and applicable limits are shown when you select a plan. Unless otherwise stated at purchase, subscriptions renew according to the selected billing period until canceled. Taxes may apply. Additional billing and cancellation details presented during checkout form part of these terms.
Acceptable use
You may not use Tool Shakedown to violate law, infringe another person’s rights, gain unauthorized access to systems or data, interfere with the service, distribute malicious code, circumvent usage or security controls, or attempt to use credentials or connected systems you are not authorized to access.
Our software and content
Tool Shakedown, its software, branding, site content, and related intellectual property are owned by CZieler Works or its licensors, except for customer-provided data and third-party materials. These terms do not transfer ownership of our intellectual property to you.
Service changes and availability
We may improve, change, add, or remove features as Tool Shakedown evolves. We aim to provide a reliable service, but we do not guarantee that every feature, integration, or third-party API will always be available or uninterrupted.
Suspension and termination
You may stop using the service at any time. We may suspend or terminate access when reasonably necessary to address security risks, nonpayment, unlawful use, material violations of these terms, or threats to the service or other users. Where practical, we will provide notice before taking action.
Disclaimers
To the extent permitted by law, Tool Shakedown is provided “as is” and “as available.” We do not warrant that analysis will identify every cost, dependency, overlap, risk, or opportunity, or that third-party data will always be complete or accurate.
Limitation of liability
To the extent permitted by law, CZieler Works will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities arising from use of Tool Shakedown. Any limitations that cannot legally apply in your jurisdiction remain subject to applicable law.
Changes to these terms
We may update these terms as Tool Shakedown changes. We will update the effective date on this page when we make changes. Continued use after updated terms take effect constitutes acceptance of the updated terms where permitted by law.
